RESULTS OF THE RIGHTS OFFER
With reference to the rights offer to Top Fix ordinary shareholders in the ratio
of 9 new ordinary shares for every 100 ordinary shares held at the record date
at a subscription price of 220 cents per new ordinary share in order to raise
R40 million, the directors advise as follows:
Taking account of the 5 000 000 ordinary shares renounced by the directors to
the underwriter in terms of the underwriting agreement, 13 181 818 ordinary
shares were available for subscription in terms of the rights offer ("rights
offer shares"). Shareholders and their renouncees applied for 6 629 098
ordinary shares, equivalent to 50.3% of the rights offer shares. The remaining
rights offer shares will be taken up by the underwriter, resulting in the issued
ordinary share capital of the company increasing from 185 000 000 shares to 203
181 818 shares.
The safe custody accounts of dematerialised shareholders will be updated with
their entitlements in terms of the rights offer and debited accordingly on
Monday, 18 February 2008.
