In 2007, prior to their appointment as directors of the Company, Messrs Thompson
and Cook had agreed to the issue 2.6 million call options each (5.2 million in
total) to facilitate a strategic investment by Spyglass Hedge Fund ("Spyglass")
in the Group. Two Million of which has been called on thus far. Messrs Thompson
and Cook are two of the original vendors of Miranda and remain substantial share
holders in the Group.
In compliance with section 3.66 of the Listings Requirements, clearance for this
transaction was given.
