DEALINGS IN SECURITIES BY DIRECTORS
Protech advises that, the terms of an asset sale and share transfer agreement
("the agreement") dated 30 November 2007, entered into between its Chief
Executive, Gerald David Chapman, via the GDC Business Trust and John Mark Dovey
via the JMD Business Trust in terms of the agreement have now been finalised.
In terms of the agreement, Gerald Chapman and John Dovey agreed to transfer
ownership of jointly held assets relating to previous business operations
outside of Protech as follows:
John Dovey would take full ownership of the jointly held assets valued at R7 599
999; and
Gerald Chapman would in exchange, receive 2 533 333 Protech ordinary shares from
the JMD Business Trust. These shares would be transferred at an agreed price of
R3.00, fixed and linked to Protech`s share price at the time of concluding the
agreement. The shares will be housed in the GDC Business Trust.
All the suspensive conditions of the agreement having being met, Protech
consequently announces the details of this transaction.
In compliance with section 3.63 to 3.74 of the Listings Requirements of the JSE
Limited, the following information is disclosed in relation to dealings in the
Company`s securities by a director of the Company:
