RESULTS OF THE OFFER TO MINORITY SHAREHOLDERS SAMRAND DEVELOPMENT HOLDINGS

Arcay Moela Sponsors (Pty) Limited is authorised to announce that the offer
("the offer") by Cavcon (Pty) Limited ("Cavcon") to Samrand shareholders,
excluding the controlling shareholders ("the offer shareholders") to acquire all
shares held by the offer shareholders ("the offer shares") at an offer price of
100 cents per share, has been accepted by offer shareholders holding in excess
of 90% of the offer shares.
Cavcon is therefore entitled to compulsorily acquire all remaining offer shares
from those offer shareholders who have not accepted the offer, by giving notice
to such shareholders in terms of section 440k (1) of the Companies Act, Act 73
of 1961, ("the Act"). A notice in terms of section 440k of the Act will be
posted to the remaining shareholders in due course.
An application will be made to the JSE Limited to terminate the listing of
Samrand once section 440k has been invoked, as the company will no longer meet
the requirements of section 4.28 of the JSE Listings Requirements with regard to
shareholder spread.
