RESTRUCTURING OF ERBACON BOARDS OF DIRECTORS
Erbacon wishes to advise the following board resignations and appointments:
1. Appointments
The company has pleasure in announcing the appointment of Alan Dawson ("Alan")
as an independent non-executive director, and Chairman, of the company with
effect from 1 March 2008. Alan has a B.Sc.Civil Engineering degree and has been
registered as a Professional Engineer with SACPE since 1975. Alan joined
Grinaker Construction Natal in 1974 culminating in an executive directorship
with Grinaker Holdings Limited responsible for civil engineering work in
Southern Africa. He was also appointed to the board of Aveng Limited in 2000.He
retired from these executive positions in 2002. Alan has been closely involved
with the SA Federation of Civil Engineering Contractors for most of his career
and was elected national president for 2000 - 2002.
The company also has pleasure in announcing the appointment of Robin Kevin
Braithwaite ("Rob") as Group Financial Director and Company Secretary of the
company effective from 28 February 2008. Rob qualified as a Chartered Accountant
in 1984 and served articles with Ernst & Young. The major part of his financial
career has been in the manufacturing and contracting sectors with both listed
and unlisted organizations.
2. Change in appointments and designations
Given the aforementioned appointment, Pierre Malan resigns as Chairman of the
company with effect from 1 March 2008, but remains a non - executive director.
As a further consequence of the above appointments, and in order to strengthen
operational and financial management within the operating subsidiaries, Gary
Brockwell Flett resigns as Financial Director and Company Secretary of the
holding company, Erbacon, and is appointed to the boards of the wholly owned
subsidiaries, Erbacon Construction (Pty) Ltd and Erbacon Small Plant (Pty) Ltd.
The effective date of these changes is 28 February 2008.
