CHANGES TO THE BOARD OF DIRECTORS
Shareholders are advised that Sanyati has restructured its board of directors
("the board") in order to ensure a more streamlined board with majority black
representation. The restructuring is in line with the Company`s strategy to
become majority black-owned by 2009. The reduction in board members from
thirteen to seven will enhance efficiency and accelerate decision-making
processes.
In compliance with Section 3.59 of the Listing Requirements of the JSE Limited,
Sanyati shareholders are hereby notified that K Ramkissoon, M O`Reilly and R
Deacon, executive directors of Sanyati, have resigned from the board with effect
from 15 March 2008 to take up executive positions on the board of directors
Sanyati Construction (Pty) Limited ("the construction board") in line with their
responsibilities as managing directors of Sanyati subsidiaries. In addition the
following non-executive directors , T Ahier, M Fleming and C Crowie, have
resigned from the board with effect from 15 March 2008.
The reconstituted board now comprises:
Executive directors
R Jackson (CEO and Chairman)
M Krouse (Financial Director)
M Sangweni
A Rutherford
Non -executive directors
R Crowie
M Dlamini
N Khambule
The construction board now comprises the managing directors of all Sanyati
subsidiaries as follows: R Deacon, J Gutter, K Ramkissoon, M O`Reilly, A
Rutherford (Managing Director), M Sangweni, I Ferguson (alternate), G van
Schalkwyk (alternate). CEO R Jackson and Financial Director M Krouse will attend
meetings of the construction board by invitation.
