AMENDMENT TO THE TCS PROSPECTUS DATED 29 FEBRUARY 2008
Following the issue of the TCS prospectus dated 29 February 2008, paragraph 27
thereof relating to the "civil litigation: claim and counter-claim" contained in
the litigation statement has been amended as follows:
Geoff O`Connell, a previous consultant of TCS issued a letter to the company in
terms of section 345 of the Companies Act claiming an amount of R10 700 206 in
respect of services rendered. TCS instructed its attorneys to respond to the
letter and to institute action against the consultant for an amount of R1 055
387 in respect of amounts due and payable by the consultant to TCS. Thereafter,
a counterclaim was filed by the consultant against the company for the following
amounts:
1.1 R12 132 722 plus 14% VAT and interest thereon;
1.2 R450 000 plus interest thereon; and
1.3 R2 197 138.
A court date has been set for the hearing. The company`s directors are of the
opinion that the consultant`s counterclaim is spurious.
