ACCEPTANCE OF OPTIONS BY DIRECTORS
In compliance with sections 3.63 to 3.65 of the Listings Requirements of the JSE
Limited ("JSE"), shareholders are advised that options have been granted to the
executive directors of the company on the basis set out below.
All of the options granted have the following characteristics:
Date of transaction: 26 March 2008
Option strike price: 118 cents
Period of exercise: After 2 years: 25%
After 3 years: 50%
After 4 years: 75%
After 5 years: 100%
After 6 years the
options expire
Class of securities: Options or phantom
options in respect of
ordinary shares
Nature of transaction: Acceptance of options
granted
Nature and extent of director`s interest: Direct beneficial
As the options have been granted in terms of TeliMatrix`s performance option
scheme and/or phantom performance scheme in addition to the characteristics set
out above, the options are conditional on an additional performance clause
being:
Telimatrix`s share price increasing by 10% per annum in the case of certain of
the options; and
Telimatrix`s share price reaching R10 per share in the case of the balance of
the options.

Telimatrix`s share price increasing by 10% per annum are as follow:
