(`Johncom` or `the company`)ANNOUNCEMENT OF ODD-LOT OFFER PRICE
It was announced on 31 August 2005 that the board of directors of Johncom
has proposed the implementation of an odd-lot offer (`oddlot offer`)
subject to the passing and, where applicable, registration of theshareholder resolutions required to implement the odd-lot offer.
Shareholders are now advised that the volume weighted average traded
price of a Johncom share on the JSE Limited for the five (5) trading days
up to and including Thursday, 15 September 2005 is 4635 cents. In termsof the odd-lot offer, holders of fewer than 100 shares who are recorded
as such in Johncom`s register of members (`register`) at the close of
business on Friday, 7 October 2005 (`record date`) and nominee holders
who are recorded as such in the register on the record date and who holdless than 100 dematerialised shares on behalf of a beneficial owner on
the record date (collectively, `odd-lot holdings`), are offered three
election alternatives:
1. to purchase sufficient shares at 4635 cents per share in order toincrease their shareholding to 100 shares; or
2. to sell their odd-lot holdings at the offer price plus a premium of
5%, equivalent to 4867 cents per share; or
3. to retain their odd-lot holding.Johannesburg
