the Old Mutual Medium Term Incentive Scheme Trust ("the Scheme") of which the
aforementioned directors of SA Corporate Fund Managers ("the directors") are
beneficiaries. In terms of the Scheme, the directors will receive any income
accruing to their indirect beneficial holding of SA Corporate units with
immediate effect but will only be entitled to take ownership of the SA Corporate
units after three years, conditional upon them still being in the employ of Old
Mutual Investment Group Property Investments (Pty) Limited, the parent company
of SA Corporate Fund Managers, at that time.
