RESULTS OF THE GENERAL MEETING
Exchange Sponsors is authorised to announce the results of the general meeting
of shareholders of Kagisano convened on Tuesday, 15 April 2008 in terms of the
notice of the general meeting contained in the Kagisano circular distributed to
shareholders on 1 April 2008. The circular is regarding a R100 million loan
facility from Blakstar Investors plc, which incorporates the grant of an option
to Blackstar Investors plc to subscribe for up to 16 666 667 Kagisano ordinary
shares ("the transaction").
All of the resolutions were passed by the requisite majority of Kagisano
shareholders present and represented by proxy.
The above shareholders` approval was the final outstanding suspensive condition
to the transaction. Shareholders are therefore advised that all suspensive
conditions have been satisfied and accordingly the board of Kagisano announces
that the transaction is now unconditional in all respects.
