REPORT ON PROCEEDINGS AT ANNUAL GENERAL MEETING AND CHANGE TO THE BOARD OF
DIRECTORS
At the third (3rd) annual general meeting of the shareholders of JSE Limited
held yesterday, 24 April 2008, the requisite majority of shareholders approved
all the ordinary resolutions and the one special resolution proposed at the
meeting.
The special resolution will be lodged for registration with CIPRO in due course.
In compliance with the JSE Limited Listings Requirements, the following
information is also disclosed:
Messrs S Koseff and G Rothschild have, after seven years of service, resigned
from the board of JSE Limited as non-executive and executive directors
respectively with effect from 24 April 2008. The board of the JSE Limited wishes
to express its gratitude for the contribution made by the retiring directors
during their term of office.
In addition, Ms. F Evans, Chief Financial Officer of JSE Limited and Mr. D
Lawrence have been appointed as executive and non executive directors
respectively of the board of JSE Limited with effect from 24 April 2008.
Shareholders are also reminded of the approved final dividend of 130 cents per
share and the salient dates for the payment of the dividend are as follows:
Last date to trade JSE shares cum dividend Friday, 9 May 2008
JSE shares trade ex dividend Monday, 12 May 2008
Record date for purposes of determining the
registered holders of JSE shares to participate
in the dividend at close of business on Friday, 16 May 2008
Date of payment of dividend Monday, 19 May 2008
Share certificates may not be dematerialised or rematerialised between Monday,
12 May 2008 and Friday, 16 May 2008, both days inclusive.
