MEETING IN REGARD TO THE SCHEME OF ARRANGEMENT IN TERMS OF SECTION 311 OF THE
COMPANIES ACT, 1973 (ACT 61 OF 1973), AS AMENDED, PROPOSED BY CLIENTELE
BETWEEN CLIENTELE LIFE AND ITS SHAREHOLDERS ("THE SCHEME")
Further to the announcement of 3 April 2008, Clientele Life shareholders are
advised that the scheme was duly approved by the requisite majority at the
scheme meeting held on Wednesday, 30 April 2008.
The report of the Chairperson of the scheme meeting on the proceedings of the
scheme meeting and the results of the voting will lie for inspection during
normal business hours on business days at, and may be obtained free of charge
by shareholders of Clientele Life from, the registered office of Clientele
Life, Clientele House, Morningview Office Park, corner Rivonia and Alon Roads,
Morningside, South Africa and the offices of PricewaterhouseCoopers
Corporate Finance (Proprietary) Limited, 3rd Floor, 2 Eglin Road, Sunninghill,
South Africa with effect from Monday, 5 May 2008.
Application to the High Court of South Africa (Witwatersrand Local Division)
("the Court") for sanction of the scheme will be made at 10:00, or as soon as
possible thereafter as the matter is heard, on Tuesday, 13 May 2008.
The remaining conditions precedent yet to be fulfilled are the sanctioning of
the scheme by the Court and the registration of the Order of Court and obtaining
the approval of the Registrar of Insurance for the implementation of the scheme.
Shareholders are reminded that the Court is located at the High Court Building,
von Brandis Square, corner Pritchard and von Brandis Streets, Johannesburg,
South Africa.
Further announcement
An announcement reporting the outcome of the application for sanction of the
scheme will be made on or about Wednesday, 14 May 2008.
