OVERVIEW
The board of directors of Alliance Mining is pleased to present the
audited financial results of the group for the year ended 29
February 2008.
NATURE OF THE BUSINESS
Alliance Mining specialises in providing services and products
mainly to the mining industry.
HIGHLIGHTS
The group generated R80,8m after tax profits for the year ended 29
February 2008 (R20,2m for year ended 28 February 2007).
Earnings per share increased to 135,4c (54,7c in the previous year)
for the year ended 29 February 2008.
Net assets increased to R238,2m at 29 February 2008 from R77,2m at
28 February 2007.
BUSINESS REVIEW AND PROSPECTS
Alliance Mining, now an integrated mining company, began as a
specialist software supplier which focused on the development,
installation and support of HR and payroll solutions for customers
within the mining industry. The initial `data component` now makes
up 11% of the company with the remaining 89% focused on mining and
mining services. Due to the change in the composition of the
company, its name changed to Alliance Mining Corporation Limited in
November 2007.
Listing on AltX enabled Alliance Mining to expand its mining and
mining related services substantially. Its subsidiaries are Alliance
Data, the original company that specialises in access control,
payroll systems and inventory control for mining clients; Sindele
Mining, a contract mining business; Rockcap a company with an
international client base specialising in grouting in the mines. The
grouting `secret formula` sets and fortifies quickly enabling mine
ceilings to be reinforced.
Thanda Bantu is a project engineering company that outsources
mechanical and civil expertise and Mel Fix & Supplies installs
electrical and electrical-rail to mining clients. Alliance Mining`s
latest acquisition, Galvrite, galvanises steel with zinc which
reinforces it and protects against corrosion for use in the mining
and construction industries. The demand for galvanised steel has
recently increased substantially due to the construction boom and
the growing platinum mining industry. Alliance Mining`s last
division, Omphamba Human Resources supplies the other divisions and
the mining industry with skilled labourers, including engineers. The
service incorporates all labour aspects including labour relations
and contract hiring.
BUSINESS COMBINATIONS
Alliance Mining acquired 100% of the issued share capital in
Galvrite (Pty) Ltd on 1 September 2007 for R16m. Goodwill of R14m
was raised following the cash payment for the acquisition. A
further R19m was raised following the final cash payment to the
shareholders of Thanda Bantu for its acquisition in 2006.
FINANCIAL REVIEW
Income Statement
Turnover increased to R312m from R157m in the previous year due to
increased production and additional contracts concluded by Thanda
and Sindele, as well as the acquisition of Galvrite. This translated
to an increase of 98% year on year.
Operational efficiencies contained operational expenditure to a 52%
increase year on year.
Balance Sheet
Capital expansion within the mining operations and the acquisition
of Galvrite resulted in the increase in property, plant and
equipment of R48m. Furthermore, Thanda, expanded its operations by
way of a new factory in Carletonville and achieved management`s
first goal in terms of future expansion.
Trade receivables increased by R33m and inventory by R14m in line
with the increased turnover in mining operations.
Capital commitments of R31m, pertaining to the Thanda acquisition,
as reflected at 28 February 2007, have been converted to equity and
cash as at 29 February 2008. (Also see Share Capital note)
SHARE CAPITAL
Share Capital increased following a general issue of 10m ordinary
shares for cash at R4,60 per share on 11 September 2007, as well as
the final 7,3m shares to be issued to the shareholders of Thanda
Bantu in June 2008, as profit warranties were met.
PROSPECTS
Management anticipates further growth and acquisitions in the mining
and galvinising divisions.
BASIS OF PREPARATION OF THE AUDITED RESULTS
Statement of compliance
The condensed financial statements comprise a consolidated balance
sheet at 29 February 2008, a consolidated income statement, a
consolidated statement of changes in equity and a summarised
consolidated cash flow statement for the year ended 29 February
2008. The condensed financial statements have been prepared in
accordance with the recognition and measurement criteria of
International Financial Reporting Standards ("IFRS") and the
presentation and disclosure requirements of IAS34, Interim Financial
reporting, JSE Listings Requirements and South African Companies
Act.
The accounting policies applied for the year are consistent with
those of the prior year.
The condensed financial statements were approved by the Board of
Directors on 28 May 2008
Basis of measurement
The condensed financial statements have been prepared on the
historical cost basis.
AUDIT OPINION
The annual financial statements have been audited by Van Dyk &
Associates. The auditors` unqualified audit report is available for
inspection at the company`s registered office.
CORPORATE GOVERNANCE
The group subscribes to the principles of, and implements where
possible, the recommendations of the King II Code on Corporate
Governance.
CASH DIVIDEND TO SHAREHOLDERS
A final dividend of 40 cents per share has been declared to
shareholders recorded in the books of the company at the close of
business on Friday, 01 August 2008. The last date to trade cum
dividend will be Friday, 25 July 2008 and the shares will trade ex
dividend from the commencement of business on Monday, 28 July 2008.
The dividend will be paid on Monday 04 August 2008.
Share certificates may not be dematerialised / rematerialised
between Monday, 28 July 2008 and Friday, 01 August 2008, both days
inclusive.
RENEWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the renewed cautionary announcement
dated 18 April 2008 in which shareholders were advised that Alliance
Mining has entered into negotiations, which if successfully
concluded may have a material effect on the price of the company`s
securities. The company is still in negotiations and accordingly,
shareholders are advised to exercise caution when dealing in the
company`s securities until a full announcement is made.
STATEMENT ON GOING CONCERN
The financial statements have been prepared on the going-concern
basis since the directors have every reason to believe that the
company has adequate resources in place to continue operations for
the foreseeable future.
