RESULTS OF THE OFFER BY SIMEKA TO THE SHAREHOLDERS OF SAB&T UBUNTU HOLDINGS
LIMITED AND NOTICE OF TERMINATION OF LISTING
1. RESULTS OF THE OFFER
River Group is authorised to announce that the offer ("the offer") by SIMEKA
Business Solutions Group Limited ("SIMEKA")to SUHL shareholders closed on
Friday, 30 May 2008,and has been accepted by SUHL shareholders holding 273 818
685 ordinary shares (representing approximately 94,3% of the offer shares).
2. IMPORTANT DATES AND TIMES
As from the commencement of trading on Monday, 2 June 2008:
Certificated shareholders of SUHL, that surrendered their certificates together
with forms of surrender and transfer on or before 12:00 on Friday, 30 May 2008,
will have their new share certificates in SIMEKA posted, by registered post, at
the risk of shareholders (or failing such surrender within five business days of
the date of surrender) on or about Monday, 2 June 2008
In respect of dematerialised shareholders, their accounts at their CSDP or
broker will be updated on Monday, 2 June.
Expected termination of the SAB&T Ubuntu Holdings Limited listing on the JSE
from the commencement of trading Monday, 7 July.
Under Section 440K shareholders that have not accepted the offer have until 30
June 2008 to lodge their objection to the court.
