RESULTS OF THE OFFER BY SIMEKA TO THE SHAREHOLDERS OF SAB&T UBUNTU HOLDINGS
LIMITED ("SUHL") AND NOTICE OF TERMINATION OF LISTING
RESULTS OF THE OFFER
Shareholders are hereby advised that the offer ("the offer") by SIMEKA to SUHL
shareholders to acquire all of the SUHL ordinary shares ("offer shares") closed
on Friday, 30 May 2008,and has been accepted by SUHL shareholders holding 273
818 685 offer shares (representing approximately 94,3% of the offer shares).
IMPORTANT DATES AND TIMES
Offer closed at 12.00 on Friday, 30 May
Accounts of dematerialised shareholders that accepted Monday, 2 June
the offer updated at their CSDP or broker from
commencement of trade on
Certificated shareholders of SUHL, that accepted the Monday, 2 June
offer and surrendered their certificates together
with forms of surrender and transfer on or before
12:00 on Friday, 30 May 2008, had their new share
certificates in SIMEKA posted, by registered post, at
the risk of such shareholders on*
Expected termination of SUHL listing on the JSE from Monday, 7 July
commencement of trade on
*Certificated shareholders of SUHL that surrender their documents of title after
Friday, 30 May 2008 will have their new SIMEKA share certificates posted, by
registered post, at the risk of such shareholders within 5 business days of
receipt thereof by the transfer secretaries.
SUHL shareholders who have not accepted the offer have until 30 June 2008 to
apply to the High Court of South Africa for relief in terms of Section 440K(1)
of the Companies Act, 1973.
