UPDATE ON THE SCHEME OF ARRANGEMENT
Resilient and Diversified linked unitholders are advised that the Competition
Tribunal has unconditionally approved the acquisition by Resilient of 100% of
the linked units in Diversified not already owned by Resilient pursuant to a
scheme of arrangement in terms of section 311 of the Companies Act (Act No. 61
of 1973), as amended ("the scheme"), proposed by Resilient between Diversified
and its linked unitholders.
Save for registration of the Order of Court sanctioning the scheme, which is
expected to occur no later than Thursday, 12 June 2008, all the conditions
precedent to the scheme have been fulfilled.
The salient dates regarding the implementation of the scheme remain as set out
in the announcement released on SENS on 10 June 2008 and published in the press
on 11 June 2008.
