Notification of acceptance of shares and share options by an Executive Director,
Executive Committee Members, Directors of Major Subsidiaries and Company
Secretaries of Massmart Holdings Limited
In compliance with rules 3.63 to 3.66 of the JSE Listings Requirements, we
hereby advise that shares or share options in Massmart Holdings securities have
been offered to all eligible Group employees. These shares and share options
were offered on 26 May 2008 at a strike price of R72.8593 being the 5 day volume
weighted average price on 23 May 2008, in terms of the rules of the Massmart
Holdings Limited Employee Share Trust. This offer was approved by the Massmart
Holdings Remuneration and Nominations Committee.
The total allocation of these shares or share options is 4,449,767 of which
28.15% was offered to the Executive Directors, Directors of Major Subsidiaries,
Executive Committee members and Company Secretaries as listed below. The
acceptance date of the shares or share options by the beneficiaries listed below
is 18 June 2008. These shares and share options are exercisable as to one
quarter each in May 2010, May 2011, May 2012 and May 2013.
