CHANGES IN DIRECTORATE
In accordance with sections 3.59 (a) and (b) of the JSE`s Listings Requirements,
notification is made of the following changes to the RAH board:
- In order to create a vacancy on the board to enable the reconstitution of
the audit committee in advance of the new financial year in accordance with
the requirements of the Corporate Laws Amendment Act 2006 , Dr Lulu Gwagwa,
who is not an independent director, will resign as a non-executive director
and member of the audit committee with effect from 30 June 2008;
- Ms Tryphosa Ramano will fill the vacancy created by the resignation of Dr
Gwagwa and will be appointed a director with effect from 30 June 2008. As
Ms Ramano will be a non-executive director who can act independently, she
will be appointed a member of the audit committee in place of Dr Gwagwa ;
- In order to increase the number of seats available on the board which are
currently limited to six and have all been filled, a general meeting will
be convened at which an ordinary resolution will be proposed increasing the
number of directors in accordance with the requirements of RAH`s articles
of association. A notice of general meeting will be posted to members on or
about mid-July 2008.
