RESULTS OF THE TOURVEST SCHEME MEETING
INTRODUCTION
Shareholders are referred to the announcement released by Tourvest on the
Securities Exchange News Service ("SENS") of the JSE Limited ("JSE") on 13 June
2008 regarding the convening of the scheme meeting, to consider and, if deemed
fit, to agree to (with or without modification) a scheme of arrangement
("scheme") in terms of section 311 of the Companies Act, 1973 (Act 61 of 1973),
as amended, proposed by Primetime Trading 6 (Proprietary) Limited ("Bidco")
between Tourvest and its shareholders (other than the excluded shareholders).
Shareholders are advised that the scheme has been approved by 93.88% of the
votes exercised by the scheme members present in person, by proxy or represented
at the scheme meeting held on Monday, 7 July 2008.
Application will be made to the High Court of South Africa (Witwatersrand Local
Division) ("the Court") on Tuesday, 15 July 2008 at 10:00 or as soon thereafter
as Counsel may be heard for an order sanctioning the scheme. The Court is
located in the High Court Building, von Brandis Square, corner Pritchard and von
Brandis Streets, Johannesburg. A further announcement regarding the outcome of
the application to the Court will be released on SENS on Thursday, 17 July 2008.
SCHEME CHAIRMAN`S REPORT
Copies of the Scheme Chairman`s report on the scheme meeting will be available
on request from the registered office of Tourvest at Tourvest House, 33 West
Street, Houghton, Johannesburg during normal business hours from Tuesday, 8 July
2008.
