SANCTIONING OF THE SCHEME OF ARRANGEMENT
Shareholders are referred to the announcement published by Tourvest on the
Securities Exchange News Service ("SENS") of the JSE Limited ("JSE") on 7 July
2008 relating to the scheme of arrangement ("scheme") proposed by Primetime
Trading 6 (Proprietary) Limited ("Bidco") between Tourvest and its shareholders
(other than certain excluded shareholders).
Shareholders are advised that the High Court of South Africa (Witwatersrand
Local Division) granted an order ("Order of Court") on Tuesday, 15 July 2008,
sanctioning the scheme, subject to the fulfilment or waiver of the following
conditions precedent -
a certified copy of the Order of Court being registered by the Registrar of
Companies ("Registrar") in terms of the Companies Act, 1973 (Act 61 of 1973), as
amended;
the Competition Authorities approving the scheme in terms of the Competition
Act, 1998 (Act 89 of 1998), as amended ("Competition Approval"); and
Tourvest not having declared any dividend or similar payment, other than normal
dividends in the ordinary course of business, the date for fulfilment of which
has been amended by written agreement between Tourvest and Bidco to the date on
which the Competition Approval is obtained.

Shareholders are advised that the salient dates will remain, subject to the
fulfilment or waiver of the conditions precedent, as detailed below:
