FULFILMENT OF CONDITIONS PRECEDENT
Further to the announcement released on the Securities Exchange News Service of
the JSE Limited and published in the press on Wednesday, 9 July 2008 and
Thursday, 10 July 2008, respectively, City Lodge ordinary shareholders are
advised that the outstanding conditions precedent to the scheme of arrangement
in terms of section 311 of the Companies Act, 1973, as amended, proposed by
Newshelf 934 (Proprietary) Limited, Newshelf 892 (Proprietary) Limited and
Newshelf 935 (Proprietary) Limited between City Lodge and its ordinary
shareholders("the Scheme"), have now been fulfilled. All the salient dates as
set out in the announcement dated Tuesday, 20 May 2008 remain applicable.
Shareholders are specifically reminded that the last date to trade to
participate in the scheme is tomorrow, Friday, 18 July 2008.
