ACQUISITION OF TRINITYHOUSE SCHOOL ("TRINITYHOUSE")
Further to the detailed announcement released on SENS on 22 May 2008, detailing
the proposed acquisition of Trinityhouse ("the Acquisition") by ADvTECH (through
its wholly owned subsidiary, The Independent Institute of Education (Pty)
Limited ("The IIE"), shareholders are advised that all the conditions precedent,
including Competition Commission approval, have been fulfilled.
In terms of the agreement the acquisition becomes effective on 1 August 2008.
The acquisition remains subject to the resolutive conditions in connection with
the registration of transfer of the immovable property forming part of the
acquisition into the name of The IIE in the appropriate Deeds Registry, and the
obtaining of such approvals and certificates as may be required by the Local
Authority, by 31 December 2008, or a later date agreed between the parties.
