NOTICE OF MEETING OF DEBENTURE HOLDERS
Notice is hereby given that a General Meeting of the debenture holders of
Foord Compass Limited will be held at 12h30 on Thursday, 18 September 2008,
at 7 Forest Mews, Forest Drive, Pinelands, Cape Town.
The following special resolution of debenture holders will be tabled:
SPECIAL RESOLUTION OF DEBENTURE HOLDERS
"To approve the nomination by the company of Mr John Levin as Trustee for the
Foord Compass Limited variable rate debenture holders."
The effect of the special resolution and the reason therefore is to approve the
company`s nomination of Mr John Levin as the Trustee for the Foord Compass
Limited variable debenture holders as required by section 16.3 of the Foord
Compass Limited Debenture Trust Deed. His nomination follows on the retirement
of the incumbent trustee, Mr Louis van Zyl.
Mr Levin is a full-time consultant in the corporate department of Webber
Wentzel. Prior to the merger of Webber Wentzel Bowens and Mallinicks, he was a
full-time consultant in the commercial department of Mallinicks and was managing
director of Mallinicks from 1996 to 2002. Mr Levin concentrates on the law of
contract, the negotiation and drafting of agreements and has extensive
experience in the resolution of shareholder disputes. In addition to his
membership of the Cape Law Society, Mr Levin is a member of the Commercial Panel
of the Arbitration Foundation of South Africa, a member of the appeal panel of
AFSA and a member of the Panel of Arbitrators of the Cape Law Society. Mr Levin
holds a BA (Law and Economics) (Stellenbosch) and a Diploma in Law (UCT).
Voting
Each debenture holder who, being a natural person, is present in person or by
proxy or, not being a natural person, is present by representative or proxy at
the meeting is entitled to one vote on a show of hands in respect of the special
resolution and any ordinary resolutions proposed at the meeting. On a poll, each
debenture holder, whether present in person or by proxy, or by representation,
is entitled to one vote for each debenture held.
Proxies
All registered debenture holders of the company will be entitled to attend
and/or vote in person or by proxy at the meeting of debenture holders. A form of
proxy will be posted to all certificated and dematerialised with "own name"
registration debenture holders. Forms of proxy must be completed and forwarded
to the offices of the company`s transfer secretaries, Computershare Investor
Services (Pty) Ltd, being 70 Marshall Street Johannesburg, 2001 (PO Box 61051,
Marshalltown, 2107), to be received by no later than 48 hours before the
commencement of the meeting (excluding Saturdays, Sundays and public holidays).
