TRANSFER OF SECURITIES WITHIN THE GROUP
As per the "Memorandum of agreement for the allotment of BSI (SA) Limited
shares and transfer of subsidiary shares" signed by the relevant parties as
part of the listing process, the number of shares issued to the vendors was
based on a formula which included an estimate of profit to be achieved by
each business unit for the year ended 31 March 2008. After the financial
results for the year ended 31 March 2008 were audited, the actual profits
achieved were measured against the estimate of profit as per the above
agreement and adjustments to the securities held were made as follows:
