POSTPONEMENT OF SALIENT DATES FOR TERMINATION OF LISTING, PROPOSED CHANGE IN
CONTROL AND RENEWAL OF CAUTIONARY ANNOUNCEMENT
Postponement of salient dates for termination of listing and proposed change in
control
Pursuant to the approval of the disposal of Industrial Credit Company Zambia
(Proprietary) Limited by shareholders in general meeting as well as the
registration of the special resolution with CIPRO on 7 October 2008, the
directors of ICC advise that SAEDF, an existing shareholder of ICC, is in the
process of taking control of ICC. An application has been made to the Securities
Regulation Panel ("SRP") for a waiver of an offer in terms of Rule 34 of the SRP
Code as the change in control was at par value, totalling R1 000. Thereafter,
SAEDF intends to inject viable assets into ICC. Accordingly, the company has
applied to the JSE Limited ("JSE") for a postponement of the delisting of the
company whilst submissions are being made to the JSE.
Accordingly the company is postponing the salient dates for the termination of
the listing of the company until further notice.
Renewal of cautionary announcement
Further to the announcements on 12 June 2008, 24 July 2008 and 4 September 2008
respectively, shareholders are advised that the company is still in negotiations
as described above, and accordingly shareholders are advised to continue to
exercise caution when dealing in the company`s securities until a full
announcement is made.
