CAUTIONARY ANNOUNCEMENT
1. Shareholders are informed that the discussions referred to in the cautionary
announcement dated 29 April 2004 have been terminated.
2. Anbeeco has entered into a management agreement with Bonheur 92 General
Trading (Proprietary) Limited (`Bonheur`), a company controlled by Mr Gary
Itzikowitz, a property developer. Bonheur is in the process of negotiating
written agreements for the acquisition of various properties and will transfer
its rights and obligations under the relevant acquisition agreements to Anbeeco.
It is Bonheur`s intention to cause the Anbeeco group to become an active
property owning, development and management group.
3. On 30 August 2004 A N Brookstone (chairman), I L Brookstone, S I Jacobson and
S I Shatenstein will resign as directors of Anbeeco and Chaim Cohen, Gary
Itzikowitz, Irwin Schmidt and Trevor Jordan (all of whom have considerable
experience in the property field) will be appointed directors.
4. Application will be made to transfer Anbeeco`s listing to the Alternative
Exchange, a division of the JSE Securities Exchange South Africa. Shareholders
are advised to continue to exercise caution in their dealings in Anbeeco shares
pending a further announcement.
