GRANT AND ACCEPTANCE OF RIGHTS TO PARTICIPANTS IN SHARE PLANS
In compliance with Rules 3.63 to 3.74 of the Listings Requirements of the JSE
Limited ("JSE"), the following information is disclosed:
Directors of the Metrofile Holdings group and the company secretary have been
granted rights on 14th October 2008 to participate in the Company`s share based
incentive plans as follows:
Share appreciation rights, which are subject to performance conditions and vest
after three years, at a grant price of R0,89:
- Graham Wackrill 835,690 rights (direct beneficial)
- Richard Buttle 576,703 rights (direct beneficial)
- Leon Thompson 555,779 rights (direct beneficial)
- Guy Kimble 720,672 rights (direct beneficial)
- Peter Mclaren-Kennedy 597,299 rights (direct beneficial)
All rights are subject to the rules of the share incentive plans, as approved by
shareholders at the general meeting held on 9 October 2008.
