CHANGE IN BOARD OF DIRECTORS
Shareholders are advised that Mohale Masithela has resigned as Chief Operating
Officer of Brait and as a Director of Brait and its subsidiaries, with effect
from 28 October 2008.
Masithela served as Brait`s Chief Operating Officer since joining Brait in May
2007. In that time he made a major contribution to the Group`s management
processes, the Group Support Units, and the senior executive dynamic.
He has, however, found the position to be more administrative and internally
focused than anticipated, and is keen to engage in a career that has a more
commercial component. In this regard, we are hopeful that he and Brait will work
together as he looks at these future opportunities.
CEO Antony Ball commented "on behalf of all of Mohale`s colleagues and our
fellow-directors, I would like to express sincere appreciation for the immense
contribution to Brait that Mohale has made in the time he has been here, and
wish him well in his future endeavors."
Samuel Sithole, who joined Brait as the Group Financial Director on 1 June 2008,
now joins the board of Brait S.A, with effect from 28 October 2008. He is
responsible for providing strategic direction for the group on all financial-
related matters including: group reporting and systems integrity; treasury and
cash management; tax strategy; compliance and corporate governance matters as
well as overseeing the investor relations programme.
Sithole, a chartered accountant by training, had been at Deloitte & Touche since
1996. He completed his articles with Deloitte`s Harare office in December 1998
and joined Deloitte`s London office in September 1999 to February 2002 as an
Audit Manager - Financial Services Division. He was admitted as an Audit Partner
with Deloitte Harare in March 2002 and also served on the firm`s Board and
Executive Committee. He joined Deloitte`s Financial Services Group ("FIST") in
Johannesburg as an Audit Partner in June 2004 and was promoted to the position
of Group Leader of FIST Audit in June 2007. Sithole graduated from the
University of Zimbabwe with a Bachelor of Accountancy (Honours) degree in 1995,
and was awarded the Duff Award of Merit by the Institute of Chartered
Accountants in Zimbabwe ("ICAZ") in 1998 for being the overall best student in
the Final Qualifying Examination as well as for passing both parts of the
examination with honours. Besides ICAZ, he is a full member of the South African
Institute of Chartered Accountants ("SAICA") and Institute of Chartered
Accountants in England & Wales ("ICAEW").
