INVESTMENT BY BRAIT AND APPOINTMENT OF DIRECTORS
Shareholders are referred to the announcement published on 30 October 2008
detailing the acquisition by Brait IV Investment, L.P. and Brait IV SA
Partnership (collectively "Brait")of just over 24% of the issued share capital
of Buildmax through:
- the subscription for 133 333 333 Buildmax shares (the "subscription
shares") at an aggregate subscription consideration of R200m being R1.50
per share; and
- the acquisition of a further 120 200 000 Buildmax shares (the "sale
shares") from existing shareholders at R1.10 per share.
Shareholders are advised:
- that the subscription shares were issued, and the sale shares transferred,
to Brait on 19 November 2008; and accordingly
- that, as detailed in the commentary to Buildmax`s interim results for the
six months ended 31 August 2008, Dennis John Mack and Anil Maharaj have
been appointed as non-executive directors of Buildmax with effect from the
same date.
