LIBERTY GROUP AND LIBERTY HOLDINGS SCHEME OF ARRANGEMENT
Liberty Holdings is to acquire all of the issued ordinary shares of Liberty
group in exchange for an issue of ordinary shares in Liberty Holdings by means
of a scheme of arrangement where 1 Liberty group share will be exchanged for 1
Liberty Holdings share.
DETAILS OF THE EVENT
The last day to participate in the scheme is Friday, 21 November 2008. Trading
in Liberty Group shares will be suspended and trading in consideration shares
will commence on Monday 24 November 2008. The participation record date will be
28 November 2008.
The Issuer will amend the Share Instalment Terms and Conditions in the following
way:
For every 1 LGLNIE share instalment held as at record date on Friday 21 November
2008 will be issued with 1 LBHNIA share instalment. The share instalment LBHNIA
will commence trading on Tuesday 25 November 2008 and expire on 25 November
2009. The final terms and conditions of the LBHNIA share instalment will be
announced at market close on 24 November 2008.
