RESULTS OF THE ANNUAL GENERAL MEETING
Results of Annual General Meeting
Shareholders are advised that, with the exception of special resolution number 1
(a general authority to repurchase shares in the company), which resolution was
withdrawn at the start of the annual general meeting, all the resolutions
proposed at the annual general meeting held on Tuesday, 25 November 2008, were
duly passed by the requisite majority of shareholders.
Progress report on the Transaction announced by Milkworx on 14 October 2008
Shareholders are advised that a circular in respect of the specific issue of
shares for cash to a strategic investor, the capitalisation of directors` loan
accounts and the repurchase of shares from the liquidators of South African
Horticulture Technologies (Proprietary) Limited (in liquidation) and the
Trustees of the Insolvent Estate The Cruickshank Industrial Trust ("the
transaction"), has been prepared and submitted to the JSE. It is expected that
the general meeting to be convened in order to propose and vote on the
resolutions required to implement the transaction, will be held during January
2009.
Renewal of Cautionary Announcement
Shareholders are referred to the cautionary announcement contained in the
transaction announcement dated 14 October 2008 and are advised that negotiations
are still in progress which, if successfully concluded, may have a material
effect on the price of the company`s securities. Shareholders are accordingly
advised to continue to exercise caution when dealing in the company`s securities
until a full announcement in this regard is made.
