REPORT ON PROCEEDINGS AT GENERAL MEETING
The board of directors is pleased to announce that the requisite majority of
shareholders approved all the ordinary and special resolutions proposed at the
general meeting held today, Thursday 11 December 2008, relating to the
conclusion of a broad-based black economic empowerment equity ownership
transaction, the effect of which will result in approximately 10% of Ceramic`s
issued share capital being issued to strategic black shareholders ("Ceramic BEE
Transaction"), as detailed in the circular to shareholders dated 19 November
2008.
The implementation of the Ceramic BEE Transaction is subject to the fulfilment
or waiver (where applicable) of the remaining suspensive conditions contained in
the transaction agreements, which include the registration of the special
resolutions passed at the aforesaid meeting.
