Reduction of shareholding in Maskew Miller Longman Holdings (Proprietary)
Limited from 50% to 15% and formation of Pearson Southern Africa Education
Group ("Pearson SA")
Further to the announcement dated 22 October 2008, shareholders are advised
that:
1. Caxton has been notified by Longman Group (Overseas Holdings) Limited that
it is in a position to complete the steps necessary to form Pearson SA. This
is a condition precedent to the transaction proceeding;
2. the transaction is still subject to the following conditions precedent:
- the approval of the transaction by the Exchange Control Department of the
South African Reserve Bank and the Competition Authorities; and
- the approval of the shareholders of the Company;
3. the necessary circular to shareholders containing a notice of general
meeting to obtain such approval is in the course of preparation and will,
subject to the approval of the JSE Limited, be dispatched within 28 days of
this announcement.
