CAUTIONARY ANNOUNCEMENT
Shareholders are informed that 1time has entered into a Heads of Agreement with
Solenta Investment Holdings (Pty) Ltd (`Solenta`) and ACIA Aero Holdings Limited
(`ACIA`) in respect of a funding arrangement and the granting of an option to
subscribe for shares in 1time , which, if successfully concluded, may have a
material impact on the price of the company`s shares.
Solenta Aviation, the aviation interest of Solenta, is a specialized commercial
aviation company that services the African continent by providing flexible,
value-added aircraft leasing solutions. ACIA is an international aircraft
leasing business. The transaction provides funding for acquisitions and growth
opportunities.
Shareholders are advised to exercise caution when dealing in their shares until
a full announcement is made.
