CHANGES TO DIRECTORATE
In compliance with section 3.59 of the Listings Requirements of the JSE,
Palabora hereby announces the following appointment to its Board of Directors:
With effect from 31 December 2008, the resignation of Mr Philip J. Robinson as
non-executive director. Mr Robinson was appointed to the role of business
executive within the Rio Tinto Copper & Diamond group.
With effect from 1 January 2009, the appointment of Ms Kay G. Priestly as non-
executive director. Ms Priestly has over 30 years of diverse financial and
management experience. Ms. Priestly is currently Chief Financial Officer for
the Rio Tinto Copper & Diamonds Group. She joined the Rio Tinto group in 2006 as
Chief Financial Officer for Kennecott Utah Copper, the second largest copper
producer in the United States. Ms. Priestly is also currently a Class I
director for Stone Energy Corporation, an independent oil and natural gas
company engaged in the exploration, development and operation of oil and gas
properties primarily located in the Gulf of Mexico. She also serves as
Chairperson of the Audit Committee for Stone Energy Corporation.
Prior to joining the Rio Tinto group, from 2004 to 2006, Ms. Priestly served as
Vice President, Risk Management and General Auditor, for Entergy Corporation, an
energy company engaged primarily in electric power production and retail
distribution operations. Ms. Priestly is the former Executive Vice President
and Chief Operating Officer of American Nursing Services, Inc., which provides
nursing services, where she served from 2002 through 2003. From 1978 to 2002,
Ms. Priestly held numerous positions, with increasing responsibilities and
leadership roles, with global professional services firm Arthur Andersen.
Ms. Priestly is a certified public accountant and is a member of the American
Institute of Certified Public Accountants. She graduated Summa Cum Laude from
Louisiana State University with a Bachelor of Science degree in accounting.
