HIGH COURT SANCTIONS SCHEME OF ARRANGEMENT
Aflease is pleased to advise shareholders that the Transvaal Provincial
Division of the High Court of South Africa ("TPD") on Tuesday, 3 February
2009, ordered that the scheme of arrangement between Aflease and its
ordinary shareholders be sanctioned in terms of section 311 of the Companies
Act, 1973, and declared it to be binding on Aflease and its shareholders
("order"). The TPD further ordered that the scheme not be implemented until
all of the conditions listed in paragraph 7, pages 36 to 37 of the circular
to Aflease shareholders issued on Friday, 19 December 2009, have been
fulfilled or waived. The order has been lodged with the Companies and
Intellectual Property Registration Office for registration.
Shareholders are reminded that the implementation of the scheme remains
subject to the fulfilment or waiver (where permitted) of a number of
conditions which were specified in the announcement released on 29 January
2009.
