JOINT ANNOUNCEMENT BY BESA AND THE JSE RELATING TO THE PROPOSED SCHEME OF
ARRANGEMENT BETWEEN BESA AND ITS SHAREHOLDERS
Shareholders of BESA ("BESA Shareholders") are referred to the Notice of Scheme
Meeting published on 16 January 2009 and the Circular to BESA Shareholders
regarding the proposed Scheme of Arrangement ("the Scheme") posted to BESA
Shareholders on 20 January 2009.
At the Scheme meeting held on Friday, 6 February 2009, the Scheme was approved
by the requisite majority of BESA Shareholders.
Application will be made to the High Court of South Africa for an order
sanctioning the Scheme as soon as practicable after the South African
competition authorities` approval has been obtained, which application date is
expected to be on Tuesday, 5 May 2009 at 10:00 or as soon thereafter as Counsel
may be heard.
The Chairman`s Report to the High Court on the results of the Scheme meeting
will be available for inspection at the registered office of BESA, with free
copies available on request, during normal business hours for 7 days before the
date of the court application for an order sanctioning the Scheme.
