SUBSIDIARIES OF MTN GROUP
Newshelf 664 (Proprietary) Limited ("Newshelf 664") is a special purpose vehicle
which was formed to hold MTN Group shares. The entire issued ordinary share
capital of Newshelf 664 is held by the Alpine Trust, the beneficiaries of which
are current and previous employees of MTN Group ("Beneficiaries").
On 22 December 2008, Newshelf 664 declared a dividend in specie to the Alpine
Trust of MTN Group shares ("the Dividend"), which dividend vested in the
Beneficiaries on the same date. The Dividend was delivered to the Alpine Trust
on 4 February 2009 and will be accessible to Beneficiaries upon completion of
all administrative procedures. As a result of the payment of the Dividend the
Beneficiaries will receive MTN ordinary shares.
In terms of section 3.63 of the JSE Limited Listings Requirements ("Listings
Requirements") the following information regarding the entitlement to MTN Group
shares by directors, the company secretary and directors of major subsidiaries
of MTN Group following the distribution of the Dividend is disclosed:
