RESULTS OF GENERAL MEETING AND RESIGNATION OF DIRECTOR AND DESIGNATED ADVISER
Shareholders are advised that, at the general meeting of Country Foods held on
Monday 16 February 2009, ordinary resolutions number 1, 2 and 3 as set out in
the notice of general meeting, which was dispatched to shareholders on Friday,
16 January 2009, namely that Mrs. CMA Casaletti, Mr. RG Casaletti and Mr. K
Bwalia be appointed as directors of the company, were not passed by the
requisite majority of shareholders.
Furthermore shareholders are advised that prior to voting on ordinary resolution
number 4, Mr James Anderson resigned as director and chief executive officer of
the company with immediate effect. Accordingly ordinary resolution number 4 as
set out in the notice of general meeting was removed from the agenda. The Board
of Country Foods will consider the appointment of a new director and will make
an announcement in this regard in due course.
Merchant Sponsors have resigned as designated advisers of the company.
