DEALING IN SECURITIES BY NON-EXECUTIVE DIRECTOR
In terms of paragraph 3.63 - 3.65 of the Listings Requirements of JSE Limited,
the following information is disclosed in respect of the acquisition of Nedbank
Group ordinary shares by an independent non-executive director of Nedbank Group
and Nedbank Limited on 3 March 2009:

These shares are held on an indirect beneficial basis.
The shares have been acquired through the Nedbank Eyethu Non-Executive Directors
Scheme, part of the group`s Black Economic Empowerment transaction (BEE
transaction). Ms Mnxasana was appointed as non-executive director on 1 October
2008, post the implementation of the BEE transaction.
The BEE transaction was announced on 19 April 2005 and details were contained in
a circular to shareholders dated 15 June 2005.
The price at which Ms Mnxasana has purchased these shares is the original price
per the circular plus a funding cost to reflect her date of joining. The number
of shares has also been adjusted to reflect the later date of participation.
Prior written approval in terms of paragraph 3.66 of the Listings Requirements
has been obtained.
