ADJOURNMENT OF THE RECONVENED SCHEME MEETING
INTRODUCTION
In respect of the scheme of arrangement ("scheme") proposed by Randgold &
Exploration Company Limited ("Randgold") amongst JCI and its shareholders, other
than Randgold, and further to the announcement published on SENS on 12 February
2009, JCI shareholders are advised that the scheme meeting referred to in that
announcement was reconvened and held at 14:00 on 9 March 2009 at the Hilton
Hotel, Rivonia Road, Sandton. At the scheme meeting:
- a representative of Letseng Diamonds Limited made an application to the
chairman of the scheme meeting to further adjourn the scheme meeting. It
was confirmed by the chairman of the scheme meeting that the board of
directors of JCI supported the application. Further, neither Randgold nor
any of the shareholders present or represented at the scheme meeting
opposed the application, notwithstanding an invitation and opportunity to
do so; and
- the chairman of the scheme meeting made the following ruling:
1 The meeting is adjourned to Wednesday, 29 April 2009 at 1400 hours at a
venue to be notified by JCI to its shareholders.
2 such notification of venue is to be given by publication on SENS and in the
Beeld and Business Day newspapers and is to be given by no later than
Wednesday, 15 April 2009.
3 JCI shall be entitled to bring the adjourned meeting date of 29 April 2009
forward, subject to being obliged to giving notice of no less than 14 days,
such notice to be given by publication on SENS and in the Beeld and
Business Day newspapers.
A revised set of important dates, times and details relating to the scheme will
be contained in an announcement to be published in accordance with point 2 or 3
of the above ruling made by the chairman of the scheme meeting.
Application will be made to the High Court to extend the date for the Chairman
of the adjourned scheme meeting to report the results thereof to the Court from
Tuesday, 17 March 2009 to Tuesday, 12 May 2009 or such later date as may be
approved by the Court.
