CHANGE TO THE BOARD OF DIRECTORS
Following the receipt of competition commission approval for the transaction
announced on SENS on 5 February 2009 and in compliance with paragraph 3.59 of
the Listings Requirements, the Beige board is pleased to announce that the
proposed appointments of Messrs Monwabisi Fandeso and Vusi Khanyile to the
board have been confirmed with effect from 17 March 2009. Mr Fandeso will
fulfil the role of Non-executive Chairman of Beige, whilst Mr Khanyile has
been appointed as a Non-executive Director.
The board is furthermore pleased to announce that Ms Lindiwe Gadd and Mr
James Alderslade have been appointed as alternate directors to Messrs Fandeso
and Khanyile with immediate effect.
Brief curricula vitae of the new appointees are set out below:
Monwabisi Fandeso (BSc (Hons) - Mech Eng, MBA)
Monwabisi is the Chief Executive Officer of Thebe Tourism Group ("Thebe
Tourism") and is a member of the Thebe Tourism board. Prior to joining Thebe
Tourism, Monwabisi was the Chairman and VP Sales and Operations for Shell
South Africa and before that, he served as Operations Director for
SABMiller`s combined beer and carbonated soft drinks African operations and
as Managing Director and subsequently Chief Executive Officer of the Land and
Agricultural Development Bank. During his career, Monwabisi has held various
senior management positions in multinational companies such as Anglo American
and Johnson & Johnson. He is a Trustee of the United World Colleges Trust of
South Africa; the Governing Council and Fundraising Committee; the United
World - Waterford Kamhlaba; the Institute of Directors and a member of the
Aircraft Owners and Pilots Association.
Vusi Khanyile (BCom (Hons) - Acc, Fellowship in Development Finance, Phd -
Honoris Causa).
Vusi is the Chairman and founding director of Thebe Investment Corporation
("TIC"). He started his working career in the finance division of Anglo
American Corporation and then ran his own finance company before taking an
appointment as Special Assistant to the Vice Chancellor at the University of
Cape Town, where he became Deputy Registrar. Vusi was Head of Finance in the
African National Congress from 1990 to 1992, when he established TIC as an
investment trust to provide financial support for community projects. Vusi
holds a B.Comm (Hons) in Accounting and Finance from the University of
Birmingham and a Fellowship in Development Finance from Princeton University.
He also holds an Honorary Doctorate from the University of Transkei. A
director of numerous companies, Vusi has been Chairman of the Educational
Development Trust since its formation in 1989, was founding Chairman of the
National Education Co-ordinating Committee ("NECC") from 1985 to 1989, and
was the Organising Secretary of the Soweto Civic Association in the mid
eighties.
Ms Lindiwe Gadd (MA - Sociology and Politics)
Lindiwe is the Group Services Executive at TIC, where her areas of
responsibility include Stakeholder Management, Brand Management, Public
Relations and Communications for the Thebe group of companies. In addition,
she is responsible for the Group Transformation Strategy and Corporate Social
Investment and is the official spokesperson for TIC. During her 15-year
career in both the public and private sectors, Lindiwe has gained extensive
experience in communication, strategic management, project management and
organisational development. Prior to joining TIC, she ran her own management
consultancy for four years, was founding CEO of Freedom Park Trust, a
national heritage project in Pretoria, and worked as a newspaper and magazine
journalist. Lindiwe currently serves as a director on the boards of several
of TIC`s investments including Safripol, JSE-listed Combined Motor Holdings;
Thebe Securities, Sparks and Ellis, Phindana Properties; Kaya FM; and Batsumi
and previously served on the boards of the Gauteng Tourism Agency and the
Corporate SMME Development Forum.
Mr James Alderslade (B.Com(acc)(Hons), CTA, CA(SA))
James joined TIC in March 2001 as Group Financial Director and in August 2007
assumed the role of Group Chief Investment Officer.
James started his career with Ernst & Young as Article Clerk and completed
his qualification with the company. He then moved to The Auditor General`s
Office in Pretoria where he conducted performance-auditing projects.
Thereafter he accepted the position of Head of Department/Senior Lecturer at
the Vista University in Pretoria. In 1995 he joined Compendium Financial
Services Incorporated as Managing Director. He was then appointed Group
Financial Director/Chief Operating Officer of MX Group of Companies. James
was also the Group Financial Director for Southcorp Capital Sourcing Limited,
a group involved in the financial services industry, medical administration
and managed healthcare services. James holds a B.Com (Acc) (Hons) from the
University of Pretoria, CTA and CA(SA) qualifications. He is also a member of
the Institute of Government Auditors (LIO) and a member of the Institute of
Directors (IOD).
