PROPOSED CHANGE OF NAME AND NOTICE OF GENERAL MEETING
Shareholders are advised that the directors propose to change the name of the
company from Esor Limited to Esorfranki Limited in order to reflect its
largest subsidiary and reinforce the "Franki" brand.
Shareholders are advised that a circular, regarding the proposed change of
name, including a notice that a general meeting of shareholders will be held
on Monday, 20 April 2009 at 10h00 at the company`s Gauteng office, 30 Activia
Road, Activia Park, Germiston in order for shareholders to consider and, if
deemed fit, approve, with or without amendment, the special and ordinary
resolutions necessary to effect the change of name, will be posted to
shareholders on or about 27 March 2009.

Last day for receipt of forms of proxy for the general
meeting (by no later than 10h00) on Thursday, 16 April
General meeting of shareholders to be held at 10h00 on
Monday, 20 April
Results of the general meeting of shareholders released
on SENS on or about Monday, 20 April
Special resolution registered with CIPRO by no later
than Tuesday, 28 April
Finalisation announcement relating to the change of
name published on SENS by Wednesday, 29 April
Last day to trade under the old name "Esor Limited"
Friday, 8 May
Change of name to "Esorfranki Limited" on the JSE
effective from the commencement of business Monday, 11 May
Trade commences under the new name "Esorfranki Limited"
under the JSE code "ESR", abbreviated name "ESORFRANK"
and new ISIN ZAE000133369 from the commencement of Monday, 11 May
trading
Record date for the change of name Friday, 15 May
Replacement share certificates will be posted to
certificated shareholders, provided their old share
certificates together with the form of surrender are
received by the transfer secretaries before 12:00 on
the record date. Any share certificates received after
12:00 on the record date will be replaced within 5
business days of receipt
Monday, 18 May
Dematerialised shareholder accounts at CSDP and/or
brokers updated on Monday, 18 May
Notes:
The above dates and times are subject to amendment and any amendment made will
be published on SENS.
Shareholders will not be able to dematerialise or rematerialise securities in
the name of Esor Limited after Friday, 8 May 2009 and may only dematerialise
their new Esorfranki Limited shares from Monday, 18 May 2009.
