(1). SALE OF NEDBANK GROUP LIMITED SHARES BY A PDMR
Mr T Boardman, Chief Executive of Nedbank Group Limited and a member of the
Group Executive Committee of Old Mutual plc sold 30,196 Nedbank Group ordinary
shares on 26 March 2009 at a price of R86.90 per share for a total value of
R2,624,032.40.
(2). MATURITY OF MATCHING RESTRICTED SHARE AWARD TO A PDMR
On 28 March 2006 (the Inception Date), Mr Boardman pledged 10,000 Nedbank Group
ordinary shares under the 2005 Matched Share Scheme on the basis that on the
anniversary date (the day following three years after the Inception Date) 50% of
the shares held in trust would be matched on a one-for-one basis if Mr Boardman
remained in the employment of Nedbank Group Limited and a further 50% of the
shares would be matched on a one-for-one basis if a predetermined Nedbank
company performance target was met.
Mr Boardman remained in the employment of the company on the anniversary date,
but the predetermined Nedbank performance target for the 2008 financial year was
not met, resulting in only 50% (5,000) of the shares being matched.
