CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the board of directors ("the Board") of
Cipla Medpro has received an unsolicited written proposal from Adcock Ingram
Holdings Limited ("Adcock") after the close of business on Tuesday, 7 April
2009, advising the Board of Adcock`s intention to acquire the entire issued
share capital of Cipla Medpro ("the Proposal").
The Board is in the process of convening a meeting to consider, and to take
the appropriate advice on, the Proposal, following which a detailed
announcement will be made.
Accordingly, shareholders are advised to exercise caution when dealing
in the Company`s shares until a further announcement is made.
