FINALISATION OF DISPOSAL OF INDUSTRIAL CREDIT COMPANY ZAMBIA (PROPRIETARY)
LIMITED ("ICC ZAMBIA"), CHANGE IN CONTROL AND RENEWAL OF CAUTIONARY ANNOUNCEMENT
Further to the on going announcements relating to the disposal of ICC Zambia,
the board of ICC are pleased to announce that payment has been received from
Vehicle Finance Limited, a Zambian registered company, for the purchase of 100%
of the shares in ICC Zambia and that this payment now finalises the disposal of
ICC Zambia.
Pursuant to the disposal and further to the announcement on 10 October 2008,
South African Enterprise Development Fund ("SAEDF") has now taken control of ICC
with effect from 08 April 2009.
A waiver of an offer in terms of Rule 34 of the SRP Code was granted by the SRP
in terms of the de minimus rule as previously announced.
Shareholders are advised that the board of directors of ICC will change after
the publication of the audited results for the year ended 31 December 2008,
which results will incorporate the results of ICC Zambia which has been disposed
of as detailed above.
Shareholders are advised that the company is in negotiations with regard to the
introduction of new assets pursuant to the change in control and the
finalisation of the above mentioned disposal, and accordingly shareholders are
advised to continue to exercise caution when dealing in the company`s securities
until a full announcement is made.
