COMMENTARY
The directors of Cyberhost announce the results for the year ended 30 June 2005
and the 18 months ended 30 June 2004. The accounting policies adopted for
purposes of this report comply, and have been consistently applied in all
material respects, with South African Statements of Generally Accepted
Accounting Practice (GAAP). The same accounting policies and methods of
computation have been followed as compared to the prior year. The results have
been audited by Lubbes Chartered Accountants and the detailed financial
statements and unqualified audit reports are available at their offices.
Shareholders are advised that the company adopted IFRS with effect from 1 July
2005.
Overview
Cyberhost"s operations are focussed on software, information technology,
communications, web hosting and internet connectivity.
Due to protracted delays in the finalisation of the section 311 settlement with
creditors the sellers of the business and assets of Mosaix Africa Technologies
trading as C-Tech cancelled the heads of agreement, which was subject to a
successful compromise offer.
On 3 December 2004 the company has completed the formal settlement with its
creditors in terms of the Companies Act. The result of the compromise offer is
that the company has regained its solvent position. Following the finalisation
of the compromise offer, the company has continued limited trading through the
licensing of re-sellers, the first being Exteq Realtime Systems.
During the last quarter of the year ended 30 June 2005, the company was
approached to acquire the Mabili Group of companies, in which the chairman, Mr
JC Human holds a significant interest. At the stage where negotiations reached
heads of agreement, the company was approach by Sekunjalo Capital for an
alternative acquisition of Top Restaurants and Intranet. The directors have
decided to cancel the proposed transaction with Mabili in favour of the Top
Restaurants and Intranet transactions, which, inter alia, offers Cyberhost
access to web-based software specific to the restaurant industry with hosting
possibilities and an initial client base. Shareholders are referred to the
acquisition announcement below.
Results

0.10 cents per share (2004: 2.84 cents per share). The company achieved headline
earnings of 0.10 cents per share (2004: headline loss of 0.26 cents per share).
The completion of the section 311 compromise with creditors resulted in a relief
of liabilities to the company of R 2 647 946 and has been recognised as sundry
income in the income statement for the 18 months ended 30 June 2004.
Issue of shares
0n 5 May 2004, the company issued 6 286 188 shares at 1 cent per share to Arcay
Client Support (Pty) Ltd in settlement of fees for services rendered. Similarly
9 286 187 shares were issued to MH Weetman and 2 000 000 to JC Human at 1 cent

Famous Butchers Grill, Upstairs Asian Fusion , Amici"s, The Cape Fish Company

2. Rationale for the acquisitions
The rationale for the acquisitions of Top Restaurants and Intranet is to create
a captive client base for the internet and web-hosting products of Cyberhost and

directors as a growth industry in South Africa. Intranet forms an integral part
of the strategy forward to expand the brands and the Group as a whole.
3. Financial Effects of the acquisitions
The table below summarises the pro forma financial effects of the acquisitions
of Top Restaurants and Intranet on the audited results of Cyberhost as published
