NOTICE OF ANNUAL GENERAL MEETING OF GOLD ONE INTERNATIONAL LIMITED
Notice is hereby given that the annual general meeting of Gold One International
Limited, previously known as BMA Gold Limited ("Gold One"), will be held at
08h00 on Wednesday, 27 May 2009, at the offices of Macquarie First South
Advisers (Pty) Limited, The Place, 1 Sandton Drive, South Wing, Sandown,
Johannesburg ("annual general meeting").
The notice of annual general meeting containing a form of proxy ("notice") was
posted to Aflease shareholders today in anticipation of the implementation of
the inward dual primary listing of Gold One on JSE Limited ("JSE") and the
Australian Securities Exchange ("ASX") and the subsequent acquisition by Gold
One of all of the issued ordinary shares of Aflease ("transaction"). The
transaction will be implemented in South Africa through a scheme of arrangement
in terms of section 311 of the Companies Act, 1973, between the company and its
shareholders.
Aflease anticipates that the inward dual primary listing of Gold One on the JSE
and the ASX will occur by no later than mid-May 2009, subject to the fulfillment
of the last remaining condition precedent which is the registration by the JSE
of the proposed new auditors of Gold One.
In anticipation of Aflease shareholders becoming Gold One shareholders before
the date of the annual general meeting, the company has distributed the notice
to Aflease shareholders to enable Aflease shareholders to vote as shareholders
of Gold One at the annual general meeting ("voting entitlement"). This voting
entitlement remains subject to the inward dual primary listing of Gold One
having occurred prior to the date of the annual general meeting.
