At the annual general meeting of shareholders and debenture holders of Resilient
held on Wednesday, 6 May 2009 (in terms of the notice of annual general meeting
contained in the Resilient annual report), all of the resolutions were passed by
the requisite majority of Resilient shareholders and debenture holders.
